1. in the event that theSeller shall become liable to pay the cost of the repair and/orreplacements in respect of any defects of the Vessel, her Hull, hermachinery and all parts and equipment thereof (the Guarantee Items)which are the subject of guarantee by the Seller under theprovisions of Article______ of the Shipping Contract;and,

2. in the event that theSeller fails to pay such costs in accordance with the terms of theGuarantee provisions, then we shall pay you such sum or sumsequivalent to such costs within __business days after our receiptfrom you of a demand in writing, which shall be accompanied by:A.(1) copy letter from the Buyer to the Seller whereby the Seller hasbeen notified of the defect for which the Buyer has made a claim,describing the nature of the defect and the extent of the damagecaused thereby, with:

b．有關(guān)造船廠、制造商或供貨人出具的一張或數(shù)張?jiān)及l(fā)票(一式兩份)，連同經(jīng)信譽(yù)良好的損壞評(píng)級(jí)機(jī)構(gòu)鑒定員簽署的證明書。
(b) an original invoice orinvoices (in duplicate) from the relevant Shipyard, manufacturer orsupplier, together with a certificate signed by a reputableclassification society surveyor;

4. For the purpose of thisGuarantee a demand presented to us in accordance with theprovisions of Paragraph 2 hereinabove and accompanied by thedocuments therein specified shall be conclusive as to the liabilityof the Seller to the Buyer to pay the costs referred to inParagraph 1 hereinabove, provided that in any case other than ademand accompanied by an arbitration award per Paragraph 2Bhereinabove or a letter of the Seller's acceptance per Paragraph 2A(1) hereinabove we have not, before or within _____ business daysafter receipt of such demand, received notice in writing or bytelex from the Seller that such liability is disputed.

6. This Letter of Guaranteeshall be governed by and construed in accordance with the Laws ofEngland. We hereby agree to submit to the non-exclusivejurisdiction of the English courts for the purpose of any legalaction or proceedings in connection herewith.

a) On the supplier's failureof the faithful performance of all the contract documentsand

b) Any payment hereundershall be made free and clear of and without deduction for or onaccount of any present or future taxes, duties, charges, fees,deductions or withholding of any nature whatsoeverimposed.
(3)本保函內(nèi)所含的各項(xiàng)約定構(gòu)成了擔(dān)保銀行不可撤消的直接責(zé)任。上述合同中的任何條款變更，你方所允許的時(shí)限或作出的任何行為或發(fā)生的疏漏，盡管可能免責(zé)或解脫銀行，都不能解除銀行的此項(xiàng)責(zé)任。

(4)本保函自上述合同簽署之日起生效直至(合同失效日)為止。本保函到期后，請(qǐng)將其退回我方注銷。
